Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Skedlii (“Skedlii”, “we”, “us”, or “our”) and any related services, websites, and applications (collectively, the “Service”). Skedlii is operated by Ngote LLC, incorporated in Delaware, USA.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Use of the Service

You may use Skedlii to create, schedule, and publish social media content to supported platforms. You agree to use the Service only for lawful purposes and in accordance with these Terms and with the terms of the social networks you connect (e.g. Meta, Instagram, Facebook Pages, LinkedIn, Threads, TikTok, YouTube, X (Twitter)).

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access.

3. Social Media Integrations

When you connect a social account, you authorize Skedlii to post content, read publishing status, and perform other actions strictly within the scope of the permissions you grant. You may revoke access at any time from that platform or from your Skedlii dashboard. Some posts may fail due to third-party API/service availability — Skedlii is not responsible for outages or policy changes on those platforms.

4. Plans, Trials, and Payments

Skedlii may offer a 7-day free trial. A valid payment method may be required to start the trial. If you do not cancel before the end of the trial, your subscription will begin automatically and your card will be charged.

All billing is handled by our payment processor (e.g. Stripe). By submitting a payment method, you authorize recurring charges until you cancel.

Our current refund policy is described at https://www.skedlii.xyz/refund. In the event of a conflict between this page and the refund page, the refund page will control.

5. Prohibited Use

You agree not to:

• Use the Service to violate any law or regulation.
• Use the Service to violate the terms of any connected platform (e.g. Meta, X (Twitter), TikTok).
• Send spam, harassment, or harmful content.
• Attempt to probe, scan, or test the vulnerability of the Service.
• Reverse engineer, copy, or resell the Service without permission.

6. Intellectual Property

All rights, title, and interest in and to the Service (including software, design, branding, and content we provide) are owned by Skedlii or its licensors. You retain ownership of content you create and schedule through the Service.

7. Service Availability

We aim to provide reliable scheduling and posting, but we do not guarantee that the Service will be uninterrupted or error-free. Third-party platforms may experience downtime, revoke access tokens, or change APIs, which can affect delivery. We will make reasonable efforts to notify you of issues and retries inside the product.

8. Termination

We may suspend or terminate your access immediately, without prior notice, if you violate these Terms, misuse the Service, or use the Service in a way that creates risk for us or for other users. You may stop using the Service at any time from your account settings.

9. Limitation of Liability

To the maximum extent permitted by law, Skedlii (and its owners, affiliates, and suppliers) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service.

The Service is provided “as is” and “as available.” We do not guarantee the success of any scheduled post, nor do we guarantee that third-party platforms will accept, publish, or retain your content.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you in-app or via email. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. You agree to the exclusive jurisdiction of the courts located in Delaware, USA, for any disputes arising out of or relating to these Terms or the Service.
